Terms of Service

1. Acceptance of Terms

By accessing or using DonorOS ("the Platform"), operated by NorthPath Strategies ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

DonorOS is an AI-powered fundraising operating system for nonprofit organizations. The Platform includes:

• AI Grant Copilot — grant discovery, proposal generation, and submission tracking
• Donor CRM — contact management, engagement scoring, and stewardship tools
• Automated Journeys — email sequences and donor engagement automation via SendGrid
• Website Builder — drag-and-drop nonprofit website and donation page creation
• Impact & Analytics — reporting dashboards, KPI tracking, and impact stories
• Matching Gift Tracking — corporate match pipeline management

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate organization and contact information
• Ensuring team members added to your organization comply with these terms
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts, systems, or networks
• Interfere with the Platform's operation or other users' use of the service
• Use AI-generated content (such as grant proposals) without human review and verification before submission
• Resell, sublicense, or redistribute the Platform without our written consent
• Scrape, crawl, or use automated means to access the Platform beyond normal API usage

5. AI-Generated Content

DonorOS uses artificial intelligence (including Anthropic Claude, OpenAI GPT-4o, Google Gemini, and Perplexity) to generate grant proposals, donor insights, and other content. You acknowledge that:

• AI-generated content is provided as a draft and requires human review before use
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are solely responsible for reviewing, editing, and approving any AI-generated content before submission to funders or other parties
• AI-generated grant proposals should be verified against funder requirements and your organization's actual capabilities

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

You retain ownership of all data you upload to the Platform. By using DonorOS, you grant us a limited license to process your data as necessary to provide the services described herein, including sending data to third-party AI providers for content generation.

7. Payment and Subscriptions

Certain features of the Platform require a paid subscription. Payment is processed through Stripe.

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are stated in US dollars and are non-refundable except as required by law
• We reserve the right to change subscription pricing with 30 days' notice
• Failure to pay may result in suspension of access to paid features
• Free tier accounts may have usage limitations on AI features, storage, and team size

8. Intellectual Property

The Platform, including its design, code, features, and documentation, is owned by NorthPath Strategies and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our written permission.

Content you create using the Platform (including AI-assisted grant proposals, website pages, and donor communications) belongs to your organization. We claim no ownership over your content.

9. Third-Party Integrations

The Platform integrates with third-party services including Stripe, Supabase, SendGrid, and AI providers. Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONOROS AND NORTHPATH STRATEGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability for any claim arising from or related to these terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED CONTENT.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these terms. Upon termination:

• Your right to use the Platform ceases immediately
• You may request an export of your data within 30 days of termination
• We may retain anonymized or aggregated data for analytics purposes
• Provisions that by their nature should survive termination will survive

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms of Service from time to time. We will notify users of material changes via email or an in-platform notification. Continued use of the Platform after changes constitutes acceptance of the updated terms.
